Corporate Financial Management Prentice Hall
Inne 1
MBA and intermediate undergraduate-level corporate finance or financial management courses. This book, from the former editors of FMAs Journal of Financial Management, is the first to integrate the major developments made in finance in the last twenty years, such as principal-agent considerations, asymmetric information considerations, and contingent claims analysis. The format parallels that of competitors, but the new material is woven into, and enriches, the traditional presentations. This is also the first corporate finance textbook to truly marry practice with theory, by having a full-time practitioner author. Student intuition is developed using twelve basic principles of finance, such as Self-Interested Behavior, Risk-Return Trade-Off, Signaling, and Capital Market Efficiency. Valuation concepts, such as net present value, and required, expected, and realized rates of return are applied to all topics, not just capital budgeting. Many more current real-world examples integrated throughout, such as Chrysler's poison pill, the Baring's Bank failure, Gibson Greeting's treasury-linked swap, GE's stock split, Eurotunnel's rights offerings, the Green Canyon Project (Ch. 9), and Netscape's IPO (Ch. 1). Financial calculator procedures encourage students to practice calculations. Intuitive treatment of options minimizes complex mathematical formulas. Careful definition and use of required, expected, and realized rates of return. Pedagogy includes: Chapter objectives. A principles box in each chapter introduction cites the financial principles that are most relevant to the chapter. Self-check questions at the end of each chapter. Decision summary boxes highlight and summarize the important material in each chapter. Equation summary boxes identify the important equations in each chapter. End of chapter exercises are organized by three different levels of difficulty, and average almost 40 exercises per chapter. A real-world application (short case) follows each chapter's exercises; supplemental material and references are provided for updating and expanding each case in the Instructor's Manual.

Searching for Corporate Savior Irrational Quest for Charisma Princeton University Press
Inne 1
Corporate CEOs are headline news. Stock prices rise and fall at word of their hiring and firing. Business media debate their merits and defects as if individual leaders determined the health of the economy. Yet we know surprisingly little about how CEOs are selected and dismissed or about their true power. This is the first book to take us into the often secretive world of the CEO selection process. Rakesh Khurana's findings are surprising and disturbing. In recent years, he shows, corporations have increasingly sought CEOs who are above all else charismatic, whose fame and force of personality impress analysts and the business media, but whose experience and abilities are not necessarily right for companies' specific needs. The labor market for CEOs, Khurana concludes, is far less rational than we might think. Khurana's findings are based on a study of the hiring and firing of CEOs at over 850 of America's largest companies and on extensive interviews with CEOs, corporate board members, and consultants at executive search firms. Written with exceptional clarity and verve, the book explains the basic mechanics of the selection process and how hiring priorities have changed with the rise of shareholder activism. Khurana argues that the market for CEOs, which we often assume runs on cool calculation and the impersonal forces of supply and demand, is culturally determined and too frequently inefficient. Its emphasis on charisma artificially limits the number of candidates considered, giving them extraordinary leverage to demand high salaries and power. It also raises expectations and increases the chance that a CEO will be fired for failing to meet shareholders' hopes. The result is corporate instability and too little attention to long-term strategy. The book is a major contribution to our understanding of corporate culture and the nature of markets and leadership in general.

Corporate & Employment Perspectives in a Global Business Kluwer Law International
Inne 1
In today's society, the "foreground" of deliberation - politics, legislation, judicial decisions, even war - is increasingly experienced by citizens as a mask for the working out of norms and institutions the precise nature of which eludes us. We are accustomed to looking behind every news item, often feeling that the real decisions are made by other people than those who seem to be in power, or that events are merely driven by facts on the ground or unconscious motives. To consider global business activity, and especially employment issues, in this experiential context is a daring and provocative challenge - one which was taken up in August 2004 under the sponsorship of the Department of Business Law at Lund University. This remarkable book presents a rich sampling of what was said at that unique symposium among a group of notable authorities in law, business, and international relations. The seventeen authors whose contributions appear in this book bring their lucid perspectives to bear on the vital and complex issues that emerge from the contemplation of the territory where the rule of law encounters global business interests. These perspectives encompass such factors as the following: the role of the "expert"; global extension of the nation-state model; the effect of development aid on legal systems in developing countries; WTO rules and dispute settlement; the most favoured nation (MFN) principle; efforts to harmonise contract law; international taxation; multinational corporate behaviour; the search for fair labour standards; the clash of economic law and labour law; corporate social responsibility; and alternative dispute resolution in international trade. Underlying all the essays is the insight that, although there is no established global law and no global law-giver, yet there is no national law that is not deeply affected by the globalisation of markets. Collectively, these authors provide a deeper and truer vision of the "real" global legal regime that is rapidly taking shape. The powerful impetus this book provides toward an understanding of actually developing global governance and global justice will be of great value to all who wish to see a balance struck among economic, environmental, and social interests in our world.
