Master's Thesis from the year 2015 in the subject Law - Public Law / Constitutional Law / Basic Rights, University of Carthage (Faculty of Legal, Political and Social Sciences), course: Common Law, language: English, abstract: This master's thesis explains the dual banking system in the USA.§§The experience of a national bank similar to the British bank was the first step in the creation of the dual banking system in the United States of America, this latter system was enforced through history.§§The government felt the need to a national bank _The First National Bank - because of some debt from a Revolutionary War, and due to the diversity of currency forms. Up to the time of the bank's charter, coins and bills were issued by state banks. Proposed by Alexander Hamilton, the Bank of the First United States was chartered for twenty years in 1791 to serve as a repository for federal funds and as the government's fiscal agent.§§The creation of a national bank seemed unconstitutional at that time for many members of the congress. They argued that such an institution would be implementing a monetary monopoly within the United States especially that one of the reasons of this creation is to unify the currency, which means that the National Bank will be the only authorized party that can issue money notes.§§As a private institution, shares were sold to private parties, and after few years of the creation of the bank, 70 percent of the shares were owned by foreigners. This fact was not strange to the American financial system, but politicians had worries about it. Thus, in 1811 after 20 years of the first charter, the re-chartering process failed and did not pass in the congress.§§The second relevant fact that enforced the dual banking system was the two national banking acts in 1863 and in 1864, The National Bank Acts were two United States federal laws that established a system of national charters for banks, the United States national banks.

Research into interlocking directorates and other organizational ties between large corporations dates back to the beginning of the century. In Germany and the United States interlocking directorates became an important means of coordination and control of large corporations and banks at the end of the nineteenth century and were, as a result, particularly subject to scientific investigation and public debate. Trusts were regarded with mistrust, especially in the United States, where John Moody's study from 1904 was significantly entitled The Truth about Trusts. In Germany much attention was paid to the role-or-the large Berlin banks in the economic development. The first large study in Germany carried the prolix title The Relationship between the Large German Banks and Industry with Special Reference to the Iron Industry (Jeidels, 1905). ---- --------- The studies in the United States were predominantly induced and even carried out by committees of the Federal Congress. In Europe, on the other hand, the labor movement soon became interested in the patterns of interlocking directorates. In the Netherlands, for example, Wibaut, a socialist leader, carried out a study on interlocking directorates, copying the research design of Jeidels. Accordingly, two different schools can be distinguished from the start: the Marxian school which developed the concept of finance capital to explain the existing interlocking directorates, and the institutional economists who used the concept of economic power to explain the same phenomenon.

So called subprime credits made the assets of commercial banksless worth during a short period. It was the cause for the credit crunch in manyeconomies. Because many enterprises have to rely on debt capital, which they lend fromcommercial banks to finance their investments, the credit crunch hit such enterprisesvery hard. The outcome is that the whole economy suffers. Many governmentselaborated the bad bank concept to solve the problem of decreased commercial lending,also Germany. It means, that banks will be allowed to start special purpose vehicles(SPV) for holding the subprime credits and to bring such subprime credits out of thebalance sheet of the bank. In Anglo-Saxon countries there are two other terms in use forSPV: (loan) recovery agency and asset management company. According to Homoelle,Ruff and Tuerr1 in theory and praxis there are many variants of bad bank modelsexisting. Until now the question which model is most successful, became insufficientexploration.German government adopted two different models of bad banks and proposed theFinancial Market Stabilisation Act (FMStFG), which became effective on July 22th2009.2 After that some banks used this opportunity and transferred their subprime assetsto such SPV.The scope of the work is first to evaluate why exactly commercial banks decreased thecommercial lending, second to analyse German bad bank concept and then to work outthe incentives of this concept for more commercial lending by commercial banks and toshow some examples of implementation of bad bank concept by German banks. At the end the answer on the question, whether the bad bank concept increases the ability andwillingness of German commercial banks to make more commercial credits available ornot, will be given in this term paper.
